Why do I need an operating agreement?

Without one, your state's default LLC rules apply — and they probably aren't what you want. An operating agreement defines ownership, control, what happens when someone leaves, and how money moves. Banks often require one to open a business account. It's not optional, it's foundational.

Do I need a registered agent?

Every LLC needs a registered agent — someone who can receive legal documents on behalf of your company during business hours. You can be your own, but then your home address is on public record and you need to be available every business day. What state should I form in?

Usually your home state. Delaware and Wyoming get a lot of hype, but forming in a different state means you'll likely need to register as a foreign entity in your home state anyway — paying fees in two states instead of one. There are real reasons to form elsewhere, but "someone on Reddit said Delaware" isn't one of them. We'll tell you if your situation actually warrants it.

LLC or corporation?

For most small businesses and side gigs, an LLC is simpler and more flexible. Corporations make sense when you're raising institutional venture capital or planning to go public. If you're reading this page, you probably want an LLC — but we'll flag it if your situation calls for something else.

How long does it take?

Depends on the state. Some states process filings in a few days, others take weeks. We file as soon as we have your information. If your state offers expedited processing, we'll let you know the option.

What about an EIN?

You'll need an EIN (Employer Identification Number) from the IRS to open a bank account and file taxes. This is separate from the LLC formation itself. We can walk you through it — it's free from the IRS and takes minutes if you're a US person.

What's the catch? Why include the operating agreement?

No catch. Most online formation services strip the operating agreement out so they can upsell it as an add-on.
